Terms & Conditions

2. Scope

These Terms govern all services provided by aidelabs.io Ltd (“aidelabs”, “we”, “us”) to business clients (“Client”, “you”). We provide AI automation services exclusively to businesses (B2B). We do not offer services to consumers.

By engaging our services, signing a Statement of Work (SOW), or accepting a proposal, you agree to these Terms together with the specific terms of your Master Service Agreement (MSA) and SOW. Where the MSA/SOW and these Terms conflict, the MSA/SOW prevails.

3. Services

We provide:

  • AI Audit & Roadmap — process analysis and automation planning
  • Agent Build & Integration — development and deployment of AI agents
  • AI Retainer & Growth — ongoing monitoring, optimisation, and reporting
  • Voice Agents — voice-interface access to deployed agents (where contracted)

Specific deliverables, timelines, and prices are defined in each SOW.

4. Pricing & Payment

  • Prices are as stated in the applicable SOW, exclusive of VAT.
  • For EU B2B clients with a valid VAT ID, the reverse charge mechanism applies (§13b UStG / Art. 196 EU VAT Directive). VAT is accounted for by the recipient.
  • Audit fees are payable on signature. Build fees are split 50% on signature, 50% on delivery, unless otherwise agreed in the SOW.
  • Retainer fees are billed monthly in advance.
  • Invoices are due within 14 days unless stated otherwise.
  • Late payment may incur interest as permitted by applicable law.

5. The 30% Performance Commitment

Where a SOW specifies a target time reduction (typically 30%) for a defined process:

  • The baseline is measured and agreed in writing before work begins (via our KPI baseline document).
  • If the agreed target is not reached within 90 days of go-live, we continue optimisation work at no additional cost until the target is reached or both parties agree the engagement has been fulfilled.
  • This commitment applies only to the specific process and baseline defined in the SOW and assumes the Client provides reasonable access to data, systems, and feedback.

6. Client Responsibilities

You agree to:

  • Provide timely access to the processes, data, and systems needed for the work.
  • Nominate a point of contact with authority to make decisions.
  • Provide accurate information for baseline measurement.
  • Review and approve deliverables within agreed timeframes.

Delays caused by the Client may affect timelines and the performance commitment.

7. Data Protection & GDPR

We take data protection seriously and process personal data in accordance with the EU General Data Protection Regulation (GDPR) and applicable national law.

  • A Data Processing Agreement (DPA / AVV) is included with every engagement involving personal data, defining roles, purposes, and safeguards.
  • Data minimisation: we process only the data necessary for the contracted task.
  • Anonymisation: wherever feasible, data is anonymised or pseudonymised before it is processed by any third-party language model or AI service.
  • Sub-processors: we use third-party AI providers (including Anthropic PBC) as sub-processors. These are listed in the DPA. We ensure appropriate safeguards are in place.
  • Data location & access: we inform clients transparently about where data is processed and the applicable legal frameworks.
  • Retention: personal data is retained only as long as necessary for the contracted purpose and deleted thereafter, subject to legal retention obligations.

You remain the data controller for any personal data you provide; we act as processor.

8. Information Security

We follow ISO 27001-aligned security practices, including:

  • Access control and the principle of least privilege
  • Data minimisation and anonymisation before AI processing
  • Documented processes for handling client data
  • Secure storage and transmission of confidential information

Note: aidelabs follows these practices as a matter of policy. Any formal ISO 27001 certification status will be stated explicitly only once achieved.

9. Confidentiality

Both parties keep confidential all non-public information received from the other. This obligation survives termination. We will not disclose your identity as a client or use your name in marketing without your prior written consent.

10. Intellectual Property

  • Agents, configurations, and deliverables built specifically for you under a SOW become your property upon full payment, as defined in the SOW.
  • aidelabs retains ownership of its general methodologies, frameworks, internal agent library, and pre-existing tools. You receive a licence to use these as embedded in your deliverables.
  • Neither party acquires rights to the other's pre-existing intellectual property.

11. Warranties & Liability

  • We provide services with professional care and skill.
  • AI systems are probabilistic. We do not warrant that outputs will be error-free. Clients are responsible for reviewing AI-generated outputs before relying on them for decisions, especially in regulated or high-stakes contexts.
  • To the maximum extent permitted by law, our total liability under any engagement is limited to the fees paid for that engagement in the 12 months preceding the claim.
  • We are not liable for indirect, consequential, or loss-of-profit damages.
  • Nothing limits liability for fraud, gross negligence, or anything that cannot be limited under applicable law.

12. Term & Termination

  • Project engagements end on delivery and acceptance.
  • Retainers run month-to-month and may be terminated by either party with 30 days' notice.
  • Either party may terminate for material breach not remedied within 30 days of notice.
  • Fees for work performed up to termination remain payable.

13. Governing Law & Jurisdiction

These Terms are governed by the laws of Cyprus. The courts of Cyprus have jurisdiction, unless mandatory consumer or local law of the Client's country requires otherwise (noting that we serve businesses, not consumers).

14. Changes to These Terms

We may update these Terms. The version in force at the time your SOW is signed applies to that engagement. Material changes will be communicated to active clients.
